NOTICE OF PUBLIC HEARING BY THE NORTH CAROLINA MEDICAL CARE COMMISSION REGARDING THE FINANCING AND REFINANCING OF HEALTH CARE FACILITIES WITH THE PROCEEDS OF THE ISSUANCE OF TAX-EXEMPT BONDS NOTICE IS HEREBY GIVEN to all interested persons that the North Carolina Medical Care Commission (the "Commission") has been requested by CaroMont Health, Inc. (the "Parent Corporation") and its affiliates, Gaston Memorial Hospital, Incorporated ("GMH") and CaroMont Health Services, Inc. ("CHS" and, together with the Parent Corporation and GMH, the "Corporations") to issue one or more series of tax-exempt qualified 501(c)(3) bonds (the "Bonds") in an aggregate principal amount not to exceed $350,000,000 for the purpose of providing funds, together with any other available funds, to (a) refund all or a portion of the outstanding (i) North Carolina Medical Care Commission Hospital Revenue Bonds (CaroMont Health), Series 2003, dated January 23, 2003 (the "2003 Bonds"), (ii) North Carolina Medical Care Commission Hospital Revenue Refunding Bonds (CaroMont Health), Series 2019, dated November 19, 2019 (the "2019 Bonds"), and (iii) North Carolina Medical Care Commission Hospital Revenue Bonds (CaroMont Health), Series 2021B, dated February 10, 2021 (the "2021B Bonds"), (b) pay or reimburse the costs of acquiring, constructing and equipping an approximately 120,000 square-foot cancer center and an adjacent three-level parking deck on the campus of CaroMont Regional Medical Center (the "2026 Project"), (c) pay interest on a portion of the Bonds during the construction of the 2026 Project and (d) pay the fees and expenses incurred in connection with the sale and issuance of the Bonds. The Bonds will be "qualified 501(c)(3) bonds" as defined in Section 145 of the Code for hospital and related health care facilities. The proceeds of the 2003 Bonds were used for the purpose of providing funds, together with other available funds, to pay the costs of (a) paying, or reimbursing the Corporations for (i) the acquisition, construction and installation of an approximately 94,000 square foot women's center, an approximately 284,000 square foot parking deck, an approximately 80,000 square foot renovation consisting of a new entrance and lobby, an addition to the comprehensive cancer center, an expanded surgery waiting room, a suite of physician's on-call rooms, an additional patient registration area, a new education center and a new gift shop, all on the campus of CaroMont Regional Medical Center, and (ii) the acquisition of certain capital equipment (collectively, the "2003 Project"), (b) refunding a portion of the North Carolina Medical Care Commission Hospital Revenue Bonds (Gaston Health Care), Series 1998 (the "1998 Bonds"), the proceeds of which were used to (i) pay or reimburse the cost of a three-story expansion and renovation and related equipment acquisition at CaroMont Regional Medical Center (the "1998 Project"), (ii) pay a portion of the interest accruing on the 1998 Bonds during construction of the 1998 Project and (iii) pay certain expenses incurred in connection with the issuance of the 1998 Bonds, (c) paying a portion of the interest accruing on the 2003 Bonds during construction of the 2003 Project and (d) paying the costs of issuance of the 2003 Bonds, including the premiums for bond insurance policies. The proceeds of the 2019 Bonds were used for the purpose of providing funds, together with other available funds, to pay the costs of refunding all of the North Carolina Medical Care Commission Hospital Revenue Refunding Bonds (CaroMont Health), Series 2018 (the "2018 Bonds"), the proceeds of which were used to (a) advance refund the North Carolina Medical Care Commission Hospital Revenue Bonds (CaroMont Health), Series 2008 (the "2008 Bonds"), the proceeds of which were used to (i) pay, or reimburse the Corporations for paying the cost of the acquisition, construction and equipping of additional facilities for CaroMont Regional Medical Center (the "2008 Project"), (ii) refund the North Carolina Medical Care Commission Hospital Revenue Bonds (Gaston Memorial Hospital Project), Series 1995 (the "1995 Bonds"), the proceeds of which were used to finance and refinance improvements at CaroMont Regional Medical Center (the "1995 Project"), (iii) refund a portion of the 1998 Bonds, (iv), pay a portion of the interest accruing on the 2008 Bonds during construction of the 2008 Project and (v) pay certain expenses incurred in connection with the issuance and sale of the 2008 Bonds, including the premium for a financial guaranty insurance policy, and (b) pay the fees and expenses incurred in connection with the sale and issuance of the 2018 Bonds and the 2019 Bonds. The proceeds of the 2021B Bonds were used for the purpose of providing funds, together with other available funds, to pay the costs of (a) paying, or reimbursing the Corporations for paying the costs of acquiring, constructing and equipping certain hospital facilities and equipment, including, without limitation, a new four-story, approximately 140,000 square foot critical care tower at CaroMont Regional Medical Center (the "2021B Project" and, together with the 1995 Project, the 1998 Project, the 2008 Project, and the 2003 Project, the "Prior Projects") and (b) paying the fees and expenses incurred in connection with the sale and issuance of the 2021B Bonds. The 2026 Project will be located on the main campus of CaroMont Regional Medical Center located at or in close proximity to 2525 Court Drive in Gastonia, North Carolina, and will be owned and operated by the Corporations. The Prior Projects are located on the main campus of CaroMont Regional Medical Center located at or in close proximity to 2525 Court Drive in Gastonia, North Carolina and are owned and operated by the Corporations. The following table sets forth the maximum principal amount of the Bonds expected to be issued for each of the purposes set forth above: Refunding of 2003 Bonds $70,000,000 Refunding of 2019 Bonds $30,000,000 Refunding of 2021B Bonds $65,000,000 2026 Project $185,000,000 Please take notice that the Assistant Secretary of the Commission will hold a public hearing in Conference Room L2-02230 of the North Carolina Department of Health and Human Services located at 1915 Health Services Way in Raleigh, North Carolina on August 21, 2026 at 11:30 a.m. at which time any person may be heard regarding the issuance of the Bonds. Any person wishing to comment in writing on the issuance of the Bonds should do so within seven (7) days after the date of publication of this notice to Geary W.
