NOTICE OF OFFER TO PURCHASE PROPERTY
AND OPPORTUNITY FOR UPSET BIDS
Pursuant to N.C. Gen. Stat. § 160A-269, notice is hereby given that the Wake County Board of Alcoholic Beverage Control has received and proposes to accept an offer to purchase certain real property owned by the Wake County Board of Alcoholic Control, subject to the upset bid procedure set forth in N.C. Gen. Stat. § 160A-269.
1) Property.
The property proposed to be sold is generally described as follows:
The Property consists of two (2) tracts or parcels of land located in Raleigh, Wake County, North Carolina: (1) a tract containing approximately 2.60 acres located at 1220 Wicker Drive (PIN: 1714392627); and (2) a tract containing approximately 0.91 acres located at 1246 Wicker Drive (PIN: 1714395527), together with any associated rights and improvements thereon.

The foregoing description is intended as a general description only. Prospective bidders are responsible for conducting their own investigation of the property, including title, survey, zoning, environmental, access, utility, development, and other matters relevant to the property.
2) Initial Offer.
The Wake County Board of Alcoholic Beverage Control has received an offer from Beacon Acquisitions LLC to purchase the property for the purchase price of $15,250,000.00, subject to the terms and conditions of the proposed Purchase and Sale Agreement approved by the Wake County Board of Alcoholic Control for purposes of the upset bid process.
The initial offeror has deposited with the Board's Finance Director an amount equal to five percent (5%) of the initial offer ($762,500.00), as required by N.C. Gen. Stat. § 160A-269.
3) Terms of Offer.
The material terms of the offer include the following:
(a) Purchase price: $15,250,000.00;
(b) Deposit: Two Million Five Hundred Thousand Dollars ($2,500,000.00) in the aggregate. The initial five percent (5%) deposit of $762,500.00 is described in Section 2 above. The balance of the deposit, in the amount of One Million Seven Hundred Thirty-Seven Thousand Five Hundred Dollars ($1,737,500.00), must be deposited with the Board's Finance Director, as Escrow Agent, at 600 S. Greenfield Parkway, Garner, NC 27529, within two (2) business days following the Board's written notification to the successful bidder that the Board has accepted its offer upon conclusion of the upset bid process;
(c) Property to be conveyed: Special warranty deed (with a non-warranty deed conveying the Survey legal description available at Purchaser's request);
(d) Closing: On or before June 25, 2027 (the Outside Closing Date), on a Closing Date selected by Purchaser upon at least thirty (30) days' prior written notice to Seller;
(e) Due diligence period, if any: Twenty (20) days after the Effective Date, ending at 5:00 p.m. on the twentieth (20th) day;
(f) Contingencies, if any: Purchaser's title review and objection rights, and Seller's obligation to cure Monetary Liens; Purchaser's absolute right to terminate for any reason during the Due Diligence Period; the conditions precedent to Closing (including no adverse environmental conditions arising after the Due Diligence Period and cure or removal of Title Objections); and Purchaser's casualty and condemnation termination rights;
(g) Buyer responsibility for costs: Recording fees for the Deed; title search fees and title insurance premiums (including endorsements); survey costs; one-half of any escrow/closing fees; Purchaser's attorney's fees and any financing costs; and any other costs customarily paid by purchasers of real property in North Carolina;
(h) Property sold: Other. The Property is conveyed by special warranty deed subject to the Permitted Exceptions, together with the limited representations, warranties, and covenants of Seller set forth in the Agreement; Due Diligence Materials are furnished without representation or warranty;
(i) No broker commission payable by the Wake County Board of Alcoholic Beverage Control, unless expressly approved by the Wake County Board of Alcoholic Beverage Control (the parties have confirmed that no broker represented either party);
(j) The Wake County Board of Alcoholic Beverage Control reserves the right to reject any and all offers at any time; and
(k) Such other terms and conditions as are set forth in the approved form of Purchase and Sale Agreement.

4) Opportunity for Upset Bids
Any person may submit an upset bid to purchase the property by delivering a written qualifying upset bid to the Wake County Board of Alcoholic Control within ten (10) days after publication of this notice.
To qualify, an upset bid must raise the current offer by not less than ten percent (10%) of the first one thousand dollars ($1,000.00) of the current offer and five percent (5%) of the remainder of the current offer.
The current offer is $15,250,000.00. Therefore, the minimum qualifying upset bid is $16,012,550.00.
5) Required Submission Materials.
A qualifying upset bid must be received by the Wake County Board of Alcoholic Beverage Control no later than 5:00 pm on August 14, 2026, and must include all of the following:
(a) A completed and signed Upset Bid Submission Form;
(b) An executed Purchase and Sale Agreement in the form approved by the Wake County Board of Alcoholic Control, modified only to reflect the upset bidder's purchase price and corresponding deposit amount;
(c) A deposit in the amount of five percent (5%) of the upset bid, payable to the Wake County Board of Alcoholic Control by certified check, cashier's check, or other form of immediately available funds acceptable to the Wake County Board of Alcoholic Control; and
(d) Any additional documentation required by the Wake County Board of Alcoholic Control or the approved bid materials.
A bid that does not include all required materials, including the required deposit and executed Purchase and Sale Agreement, may be rejected as non-qualifying.
6) Re-Advertisement and Continued Upset Bid Periods.
If a qualifying upset bid is received, the Wake County Board of Alcoholic Control will readvertise the offer at the increased bid amount. The upset bid procedure will be repeated until no further qualifying upset bids are received within the applicable ten (10) day period.
7) Final Board Action
At the conclusion of the upset bid process, if no further qualifying upset bids are received, the Wake County Board of Alcoholic Control may accept the highest qualifying offer and authorize sale of the property to the highest bidder. The Wake County Board of Alcoholic Control reserves the right to reject any and all offers at any time.
