NOTICE OF PUBLIC HEARING ON PROPOSED SOLID WASTE DISPOSAL REVENUE BONDS (MONTAUK AG RENEWABLES PROJECT) SERIES 2026 TO BE ISSUED BY THE NORTH CAROLINA AGRICULTURAL FINANCE AUTHORITY Notice is hereby given that the designated hearing officer for the Board of the North Carolina Agricultural Finance Authority (the "Authority") will hold a public hearing on January 29, 2026, with regard to the proposed issuance of its exempt facility revenue bonds to finance solid waste disposal facilities, as defined in Section 142(a)(6) of the Internal Revenue Code of 1986, as amended, in one or more series, in an amount of up to $135,000,000 (the "Bonds"). The proceeds of the Bonds will be loaned to Montauk AG Renewables, LLC, a Delaware limited liability company, or an affiliated or related entity (the "Company"), to (a) finance (including through reimbursement) a portion of the costs of the acquisition, design, development, construction, improvement, furnishing and equipping of solid waste disposal facilities at the Primary Facility (as defined below) and the Secondary Facilities (as defined below), which are used in an integrated operation to convert organic agricultural wastes to natural gas and biochar (collectively, the "Project"), (b) fund any reserve requirements for the Bonds and the Project, (c) fund capitalized interest on the Bonds and (d) pay all or a portion of the costs of issuance of the Bonds. The Bonds, when and if issued by the Authority, will be issued pursuant to Chapter 122D of the General Statutes of North Carolina and shall not be a debt of the Authority, the State of North Carolina (the "State"), or any political subdivision thereof and none of the Authority, the State, or any political subdivision thereof shall be liable thereon, nor in any event shall such Bonds be payable out of any funds or properties other than those of the Authority derived solely from payments made by the Company.
