NOTICE OF PUBLIC HEARING The City Council of the City of Raleigh, North Carolina (the "City") has determined to consider whether to enter into an installment contract financing arrangement under Section 160A-20 of the General Statutes of North Carolina for the purpose of providing funds, together with any other available funds, to (a) refinance the City's obligations pursuant to a prior installment financing agreement (the "Prior Installment Financing Agreement"), the proceeds of which were use to pay the costs of acquiring, constructing and equipping the initial phase of East Civic Tower-City Hall and various fire, public safety and other administrative building improvements for the City, and (b) refund all or a portion of the City's outstanding Limited Obligation Bonds, Series 2016 (the "Series 2016 Bonds"), the proceeds of which were used to refinance certain prior installment financing obligations of the City and to finance fire station and performing arts center improvements for the City. The City expects to issue limited obligation bonds (the "Bonds") pursuant to an existing Trust Agreement, dated as of July 1, 2024, and a Third Supplemental Trust Agreement, each between the City and the trustee named therein, in an aggregate principal amount not to exceed $120,000,000 for the above-described purposes. In connection with the execution and delivery of the Trust Agreement, the City delivered a deed of trust granting a lien of record on the site of the existing Convention Center, together with all improvements and fixtures located and to be located thereon. As additional security for the City's obligations under the Trust Agreement, in connection with the delivery of the Bonds, the City will amend the Deed of Trust to grant a lien of a record on all or a portion of the projects financed or refinanced with the proceeds of the Prior Installment Financing Agreement or the Series 2016 Bonds. Section 160A-20 of the General Statutes of North Carolina requires that the City hold a public hearing prior to entering into the Third Supplemental Trust Agreement and issuing the Bonds. Please take notice that the City Council of the City will conduct a public hearing in the City Council Chambers at the Avery C. Upchurch Government Complex located at 222 West Hargett Street in Raleigh, North Carolina at 1:00 p.m. on January 20, 2026, at which time any person may be heard regarding the proposed plan of finance and the Bonds to refinance the Prior Installment Financing Agreement and refund all or portion of the outstanding Series 2016 Bonds.
