Please take notice that on October 21, 2026, the City filed an Original Petition for Chapter 1205 Expedited Declaratory Judgment (the "Petition") pursuant to Chapter 1205 of the Texas Government Code.
The City proposes to issue refunding bonds (the "Proposed Public Securities") to refund and refinance all of the City's currently outstanding Senior Lien Special Tax Revenue Bonds, Series 2018A, Senior Lien Special Tax Revenue Bonds, Taxable Series 2018B, and Subordinate Lien Special Tax Revenue Bonds, Series 2018C (collectively, the "2018 Bonds"). The Proposed Public Securities are expected to be issued in up to three series, proposed to be titled City of Arlington, Texas Senior Lien Special Tax Revenue Bonds, Series 2027A; City of Arlington, Texas Senior Lien Special Tax Revenue Bonds, Taxable Series 2027B; and City of Arlington, Texas Subordinate Lien Special Tax Revenue Bonds, Series 2027C, with a final maturity no later than February 15, 2048. The Proposed Public Securities will be payable from and secured by a pledge of (i) a sales and use tax levied within the City at a rate of one-half of one percent, (ii) a tax at a maximum rate of five percent on the gross rental receipts from the short-term rental of a motor vehicle within the City, and (iii) a tax on the occupancy of a hotel room within the City at a maximum rate of two percent (collectively, the "Pledged Special Taxes"), which taxes were approved by City voters at elections held on November 2, 2004, and November 8, 2016, pursuant to Chapter 334 of the Texas Local Government Code. The Pledged Special Taxes not needed to pay debt service on the Proposed Public Securities or fund any reserves under the indentures may be used by the City for (i) deposit to a redemption fund to be used to redeem the Proposed Public Securities before their final maturity, (ii) deposit to a maintenance and operations account to be used to pay expenses for the maintenance and operation of the Dallas Cowboys Complex Development Project and/or the Texas Rangers Complex Development Project, as defined in the Petition, or (iii) any other purpose authorized by Section 334.042 Texas Local Government Code.
In the Petition, the City seeks, among other things, a declaratory judgment validating the Proposed Public Securities and certain related actions, agreements, and transactions. This includes declarations that: (1) the City has two voter-approved venue projects under Chapter 334 of the Texas Local Government Code, with bonds outstanding on both, namely the Dallas Cowboys
Complex Development Project and the Texas Rangers Complex Development Project; (2) the City is authorized to issue the Proposed Public Securities, in one or more series, as refunding bonds pursuant to Chapter 1207 of the Texas Government Code and Chapter 334 of the Texas Local Government Code and once issued, the Proposed Public Securities and their security will constitute lawful and valid obligations and contracts of the City; (3) the City is authorized to pledge the Pledged Special Taxes previously approved by the voters in 2004 and 2016 to secure the Proposed Public Securities, pursuant to Chapter 334 of the Texas Local Government Code and Chapter 1207 of the Texas Government Code; (4) the City is authorized to continue to collect the Pledged Special Taxes until such time as all bonds or other obligations of the City payable, in whole or in part, from the Pledged Special Taxes, including any refunding bonds or other obligations, have been paid in full, or the full amount of money, exclusive of guaranteed interest, necessary to pay such bonds and obligations in full has been set aside in a trust account dedicated to that purpose; (5) the City is authorized to use excess Pledged Special Taxes not required for debt service to pay maintenance and operating expenses of the Dallas Cowboys Complex Development Project and the Texas Rangers Complex Development Project, pursuant to Section 334.042 of the Texas Local Government Code and in accordance with the terms and provisions of the Bond Ordinance and Indentures, including as provided in the Master Extension Agreement and the related lease amendment; (6) the City is not required to hold an election to issue the Proposed Public Securities;
(7) the City is not required to hold an election to continue to collect the Pledged Special Taxes while the Proposed Public Securities remain outstanding; (8) the City is not required to hold an election to use excess Pledged Special Taxes to pay maintenance and operating expenses of the Cowboys Project and the Rangers Project; (9) the Amended and Restated Master Agreement Regarding Cowboys Stadium Extension was legally and validly executed by the City and, subject to the conditions stated therein, creates binding obligations on the parties thereto; (10) the City is fully authorized to execute and enter into the Lease Amendment, Lease Guaranty Amendment, Purchase Option Amendment, Cowboys Franchise Amendment, and Charitable Contribution Amendment, as those documents are defined in the Amended and Restated Master Extension Agreement Regarding Cowboys Stadium Extension, attached as an exhibit to the Petition, and subject to the conditions stated therein, and once issued, the Proposed Public Securities and their security will constitute lawful and valid obligations and contracts of the City; (11) the proposed deposit of excess Pledged Special Tax revenue into the maintenance and operation account described in the Amended and Restated Master Agreement Regarding Cowboys Stadium Extension and the related lease amendment is an authorized use of such revenue under Section 334.042 of the Texas Local Government Code, and is legal and valid upon the refunding of the Series 2018 Bonds and the effectiveness of the new Bond Ordinance and Indentures governing the Proposed Public Securities; (12) the claims asserted in the lawsuit, Cause No. 141-379519-26, styled Voters' Voice of Arlington v. City of Arlington, Texas, et al., pending in the District Court of Tarrant County, Texas, to the extent they challenge the City's authority to undertake any of the matters declared valid in this judgment, are without merit; and (13) the Court's judgment in this action shall constitute a permanent injunction against the institution or prosecution by any person or entity of any new or existing action or proceeding contesting the validity of the Proposed Public Securities or the other agreements and transactions validated by this judgment, the authorization of the Proposed Public Securities and such agreements and transactions, the expenditure of money relating to the Proposed Public Securities or such agreements and transactions, the provisions made for the payment of the Proposed Public Securities or interest thereon, any matter adjudicated by this judgment, and any matter that could have been raised in this proceeding.
