Ordinance NO. ORD-48-25 BY THE COUNCIL CORLESS, HALLYBURTON, MORALES, NASH, STEAD AND WILLITS. AN ORDINANCE FOR AN ADDENDUM TO THE FRANCHISE AGREEMENT TO INTERMOUNTAIN GAS COMPANY, AN IDAHO CORPORATION, TEMPORARILY EXTENDING THE TERM; PROVIDING WRITTEN ACCEPTANCE; PROVIDING FOR A WAIVER OF THE READING RULES; AND PROVIDING AN EFFECTIVE DATE. The Franchise Agreement ("Agreement"), with an effective date of January 9, 2006, was entered into by and between Intermountain Gas Company, an Idaho corporation, with offices located at 555 S. Cole Rd., Boise, ID, 83709 ("Intermountain Gas"), and the city of Boise City, an Idaho municipal corporation, located at 150 N. Capitol Blvd., Boise, ID 83702 ("City"), City Ordinance No. 6444. Intermountain Gas or City may be individually referred to as a "Party," and collectively referred to as "Parties." WHEREAS, the Agreement has a term of twenty (20) years, which is set to expire January 9, 2026; and, WHEREAS, the Agreement provides that the Parties may renegotiate for an additional twenty (20) year period; and, WHEREAS, the Parties have been engaged in that renegotiation for the last several months and wish to continue those discussions without expiration of the franchise (Ord. No. 6444). THEREFOR, BE IT ORDAINED BY THE MAYOR AND COUNCIL OF THE CITY OF BOISE CITY, IDAHO: Section 1. The term of the current franchise is hereby extended until March 9, 2026. Section 2. All other terms and conditions of the current Agreement shall continue in full force and effect. Section 3. Any further extension of the term or other amendment must be in writing, authorized and executed by each Party. Section 4. Acceptance by Intermountain Gas Company, attached hereto, is acknowledged and incorporated herein by reference. Section 5. That pursuant to the affirmative vote of one-half (1/2) plus one (1) of the members of the full Council, the rule requiring two (2) separate readings by title and one (1) reading in full be, and the same is hereby, dispensed with, and accordingly, this Ordinance shall be in full force and effect immediately upon its passage, approval and publication.
