NOTICE OF PUBLIC HEARING ON PROPOSED SOLID WASTE
DISPOSAL REVENUE BONDS (CARBON CYCLE NORTH
CAROLINA PROJECT)
to be issued by the
NORTH CAROLINA
AGRICULTURAL FINANCE AUTHORITY
Notice is hereby given that the designated hearing officer for the Board of the North Carolina Agricultural Finance Authority (the "Authority") will hold a public hearing on January 22, 2026, with regard to the proposed issuance of its exempt facility bonds to finance a solid waste disposal facility, as defined in Section 142(a)(6) of the Internal Revenue Code of 1986, as amended, in one or more series, in an amount of up to $110,000,000 (the "Bonds"). The proceeds of the Bonds will be loaned to Carbon Cycle North Carolina LLC, a North Carolina limited liability company, or an affiliated or related entity (the "Company"), to (a) finance and refinance a portion of the costs of the acquisition, construction and equipping of a solid waste disposal facility, which includes the processing of agricultural and food waste to produce renewable energy (collectively, the "Project"), (b) fund capitalized interest on the Bonds, (c) fund any required reserves for the Bonds and (d) pay all or a portion of the costs of issuance of the Bonds. The Project is or will be located at 855 Penny Branch Road in the Town of Warsaw, North Carolina and is or will be owned and/or operated by the Company.
The Bonds, when and if issued by the Authority, will be issued pursuant to Chapter 122D of the General Statutes of North Carolina and shall not be a debt of the Authority, the State of North Carolina (the "State"), or any political subdivision thereof and none of the Authority, the State, or any political subdivision thereof shall be liable thereon, nor in any event shall such Bonds be payable out of any funds or properties other than those of the Authority derived solely from payments made by the Company.
The public hearing, which may be continued or adjourned, will be held on January 22, 2026, at 2:00 p.m. (or as soon thereafter as the hearing may be held), in the Authority's Board room located at 1101 Spring Forest Road, Raleigh, NC 27615. Any person interested in the issuance of the Bonds or the Project may appear and be heard at the public hearing. Any person wishing to comment in writing on the Project or the issuance of the Bonds should do so within seven days of the publication of this notice by sending such comments to the North Carolina Agricultural Finance Authority, 1101 Spring Forest Road, Raleigh, NC 27615, Attention: Interim Executive Director.
