NOTICE OF PUBLIC HEARING WITH RESPECT TO NOT TO EXCEED $120,000,000 OF EDUCATION FACILITY REVENUE BONDS (American Leadership Academy Johnston) SERIES 2026 Notice is hereby given that on Wednesday, November 19, 2025, a public hearing, as required by Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code") and NCGS 115C-218.37, will be held by the designated Hearing Officer of the Superintendent of Public Instruction of the State of North Carolina (the "Superintendent"), with respect to the proposed issuance of Education Facility Revenue Bonds (American Leadership Academy Johnston) Series 2026 (the "Bonds"), issued in one or more series or issuances, on a tax-exempt or taxable basis, as part of a plan of finance in an aggregate maximum stated principal amount not to exceed $120,000,000 by The Industrial Development Authority of the City of Sierra Vista (the "Issuer"), a nonprofit corporation designated a political subdivision of the State of Arizona (the "State"), incorporated with the approval of the City of Sierra Vista, Arizona (the "City"), pursuant to the provisions of the Constitution of the State and under Title 35, Chapter 5, Arizona Revised Statutes, as amended (the "Act"). The hearing will be held in Room 120B of the Education Building of the North Carolina Department of Public Instruction located at 301 N. Wilmington Street, Raleigh, North Carolina 27601 at 10:00 a.m. (or as soon thereafter as the public hearing is held). The proceeds of the Bonds will be loaned to ALA Johnston Holdings, LLC (the "Borrower"), a North Carolina limited liability company, the sole member of which is Leadership Schools of Johnston County d/b/a American Leadership Academy Johnston (the "Lessee"), a North Carolina nonprofit corporation designated as an organization described in Section 501(c)(3) of the Code, and used by the Borrower to (a)(i) finance or refinance, including through reimbursement, the acquisition, construction, improvement, equipping, and installation of approximately 48 acres of land and educational facilities to be owned by the Borrower and leased to the Lessee for use as a charter school known as American Leadership Academy Johnston (the "School") and (ii) refinance indebtedness of the Lessee incurred to finance the acquisition, equipping, and installation of furniture, fixtures, and equipment, all located at 3770 US-70 BUS, Clayton, NC 27520 (clause (i) and clause (ii) together, the "Facilities"); (b) fund capitalized interest on all or a portion of the Bonds; (c) fund one or more reserve funds for the Bonds; and (d) pay all or a portion of the costs of issuance of the Bonds (collectively, the "Project"). The Facilities are or will be located in the State of North Carolina and will be owned by the Borrower and operated by the Lessee, which will be a principal user of the Facilities within the meaning of the Code. One or more series of the Bonds are expected to be qualified 501(c)(3) bonds as defined in Section 145 of the Code. The Bonds, the premium, if any, and the interest thereon are special limited obligations of the Issuer payable exclusively from amounts due by the Borrower and/or the School. The Bonds do not constitute a debt or a loan of credit or a pledge of the full faith and credit or taxing power of the Issuer, the City, or of the State, or of any political subdivision thereof, within the meaning of any State constitutional provision or statutory limitation and shall never constitute nor give rise to a pecuniary liability of the State or the City. The Bonds shall not constitute, directly or indirectly, or contingently obligate or otherwise constitute a general obligation of or a charge against the general credit of the Issuer, but shall be special, limited obligations of the Issuer. The Issuer has no taxing power. The public hearing will provide an opportunity for all interested persons to express their views, both orally and in writing, on the plan of finance for the issuance of the Bonds, the Facilities, or the Project. Any person interested in the issuance of the Bonds may appear and be heard or submit written comments. Any person wishing to submit written comments regarding the issuance of the Bonds, the financing and/or refinancing of the Project or any matter related thereto should do so within seven (7) days after the date of publication of this notice by delivering such written comments to the Office of Charter Schools, 6301 Mail Service Center, Raleigh, NC 27699-6301. This notice is given pursuant to the provisions of Section 147 of the Code and the Act. Additional information concerning the Project may be obtained from the Lessee at its current mailing address of 3770 US-70 BUS, Clayton, NC 27520.
