Notice of Change in Bank Control Notice is hereby given that Exploration Capital Fund, LP, Exploration Capital General Partner, LLC, and Exploration Capital, LLC, all of Salt Lake City, Utah, and Stephen Gustin of Vineyard, Utah, have made application to the North Carolina Office of the Commissioner of Banks for permission to retain 10 percent or more of the shares and thereby control of M&F Bancorp, Inc., a North Carolina corporation and bank holding company under the Bank Holding Company Act of 1956, as amended, (the "Company") and acquire up to 14.99% of the total outstanding voting shares of the Company. The Company is situated in Durham, North Carolina with its main office located at 2634 Durham Chapel Hill Blvd, Suite 101, Durham, NC, 27707. Should the application be approved, the applicants would retain indirect control of Mechanics & Farmers Bank, a North Carolina state non-member bank with its main office located at 116 W. Parrish Street, Durham, NC, 27701 (the "Bank"), through the Company as the sole shareholder of the Bank.
