NOTICE OF PUBLIC HEARING REGARDING FINANCING AND
REFINANCING OF
HEALTH CARE FACILITIES WITH THE PROCEEDS OF
TAX-EXEMPT BONDS TO BE ISSUED BY
THE NORTH CAROLINA MEDICAL CARE COMMISSION
NOTICE IS HEREBY GIVEN to all interested persons that the North Carolina Medical Care Commission (the "Commission"), for itself and on behalf of the State of North Carolina, will hold a public hearing in Conference Room L2-02210 at 1915 Health Services Way, Raleigh, North Carolina on November 14, 2025 at 1:00 p.m., at which time any person may be heard regarding the health care facilities proposed to be financed and refinanced by the Commission with proceeds from the issuance of one or more series of tax-exempt bonds (the "Bonds").
The Commission has been requested to issue the Bonds and to lend the proceeds from the sale thereof to Duke University Health System, Inc., a nonprofit corporation and organization described in Section 501(c)(3) of the Code ("DUHS"). The maximum stated principal amount of Bonds to be issued is $275,670,000. The Bonds will be qualified 501(c)(3) bonds as defined in Code Section 145. DUHS will use the proceeds of the Bonds to 1) refund taxable indebtedness of DUHS, the proceeds of which were used to finance or refinance costs of acquiring the Project (as defined below) on an interim basis and 2) if desired by DUHS, pay certain costs to be incurred in connection with the issuance of the Bonds by the Commission.
The Project consists of substantially all of the assets which are directly or indirectly related to, necessary for, or used in connection with, the operation of Lake Norman Regional Medical Center (now known as Duke Health Lake Norman) in Mooresville, North Carolina, together with certain related businesses, including but not limited to, medical office buildings, outpatient care facilities, physician practices, ancillary services, land and buildings. The locations of the Project are listed on Exhibit A attached to this notice. The Project is owned or operated by DUHS or Duke Health Lake Norman Regional Medical Center, Inc., which is an affiliate of DUHS.
Any person wishing to comment in writing on the Project or the issuance of the Bonds should forward comments, for receipt prior to the date and time of the public hearing specified above, to Mr. Geary W.
