NOTICE OF APPLICATION FOR PROPOSED MERGER TRANSACTION Notice is hereby given that TowneBank, a Virginia state non-member bank with its main office located at 5716 High Street West, Portsmouth, Virginia 23703 ("TowneBank"), has made application to the Federal Deposit Insurance Corporation (the "FDIC"), the Virginia Bureau of Financial Institutions and North Carolina Commissioner of Banks for permission to consummate a merger transaction (the "Merger"), pursuant to which TowneBank will merge with Dogwood State Bank, a North Carolina state non-member bank with its main office located at 5401 Six Forks Road, Raleigh, North Carolina 27609. TowneBank will survive the Merger and continue as a Virginia state non-member bank. It is possible that the aforementioned banks may decide to close or consolidate one or more bank branches in connection with their proposed merger in geographies where branches overlap or for other business reasons, but it is not likely that any such decisions will be made until after consummation of the merger. This notice is published pursuant to Section 18(c) of the Federal Deposit Insurance Act (12 U.S.C. § 1828(c)), and section 303.65 of the regulations of the FDIC (12 C.F.R. § 303.65). Any person wishing to comment on this application may file his or her comments in writing with the Deputy Regional Director, Ann Servaes, of the FDIC at its Atlanta Regional Office at 10 10th Street NE, Suite 900, Atlanta, Georgia 30309-3849, not later than October 21, 2025.
